Solution Portal

Parties. This agreement is between the undersigned individual ("Recipient") and James Rogers, Enterprise Architect, Rogers Strategy & IT Consulting ("Disclosing Party"), operating the Medical AI platform at uschina.us.

Confidential Information. All technical information, clinical architecture, source code, system demonstrations, business strategy, patient data processing specifications, market analysis, financial projections, and any other information disclosed through this portal constitutes Confidential Information.

1. Non-Disclosure. Recipient agrees not to disclose, copy, reproduce, or transmit any Confidential Information to any third party without prior written consent.

2. Non-Use. Recipient agrees not to use Confidential Information for any commercial purpose or competitive analysis without prior written authorization.

3. No IP Filing. Recipient agrees not to file any patent, trademark, or IP application that incorporates or derives from the Medical AI or Clinical Intelligence Engine architecture or any component thereof.

4. Identity Recording. Recipient acknowledges that their name, organization, email, IP address, and timestamp are recorded as evidence of this agreement.

5. Duration. Obligations remain in effect for five (5) years from date of access.

6. Governing Law. State of Illinois, United States of America.

Effect. Clicking "I Agree and Enter Portal" constitutes a legally binding electronic agreement to all terms above.
